⚠️ Important: Please read these Terms of Service carefully before using SysNav. By accessing or using our services, you agree to be bound by these terms. If you do not agree to these terms, do not use our services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and VirtBricks LLC ("Company," "we," "us," or "our") regarding your use of SysNav, including the desktop application, web services, and any related services (collectively, the "Services").

By creating an account, downloading our software, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

SysNav is an AI-powered terminal management platform that provides:

  • • Unified terminal interface for managing multiple terminals and SSH connections
  • • AI-powered assistance for command suggestions, debugging, and automation
  • • Command history and workflow recording capabilities
  • • Team collaboration and sharing features (Professional and Enterprise plans)
  • • Cloud synchronization of settings and preferences

The Services may evolve over time, and we reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with or without notice.

3. Beta Services and Testing

Current Status: BETA

SysNav is currently in beta testing phase. By participating in the beta program, you acknowledge and accept additional terms and risks associated with pre-release software.

3.1 Beta Program Terms

  • Experimental Nature: Beta Services are provided on an "as-is" and "as-available" basis. Features may be incomplete, contain bugs, or behave unexpectedly.
  • No Warranties: We make no warranties regarding the performance, reliability, availability, or suitability of Beta Services for any purpose.
  • Data Loss Risk: Beta Services may result in data loss, corruption, or system instability. You are solely responsible for backing up your data and systems.
  • Production Use: Beta Services are NOT recommended for production environments or mission-critical systems. Use at your own risk.
  • No SLA: Beta Services are not covered by any Service Level Agreement (SLA). We do not guarantee uptime, response times, or support availability.
  • Feedback: By using Beta Services, you agree to provide feedback, bug reports, and suggestions for improvement. We may use this feedback without compensation or attribution.
  • Termination: We may terminate your access to Beta Services at any time for any reason without notice.
  • Free Access: Beta participants receive free access to Professional plan features during the beta period. This access may be revoked or require payment after the beta period ends.

3.2 Transition from Beta

When SysNav transitions from beta to general availability, we will notify you at least 30 days in advance. At that time, you may be required to accept updated terms and subscribe to a paid plan to continue using Professional features.

4. Eligibility

You must meet the following requirements to use our Services:

  • • Be at least 18 years of age
  • • Have the legal capacity to enter into binding contracts
  • • Not be prohibited from using the Services under applicable laws
  • • Comply with all local, state, national, and international laws and regulations

If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

5. Account Registration and Security

5.1 Account Creation

To use SysNav, you must create an account by providing accurate, complete, and current information. You may register using:

  • • Email and password
  • • OAuth providers (Google, GitHub)

5.2 Account Security

You are responsible for:

  • • Maintaining the confidentiality of your account credentials
  • • All activities that occur under your account
  • • Notifying us immediately of any unauthorized use or security breach
  • • Using strong, unique passwords

5.3 Account Restrictions

  • • One account per user (no account sharing)
  • • No selling, transferring, or sublicensing your account
  • • No creating accounts through automated means (bots)
  • • No impersonating others or providing false information

6. Acceptable Use Policy

6.1 Prohibited Activities

You agree NOT to use the Services to:

  • Illegal Activities: Violate any applicable laws, regulations, or third-party rights
  • Malicious Actions: Distribute malware, viruses, or engage in hacking or cracking
  • Abuse: Harass, threaten, or harm others
  • Unauthorized Access: Access systems or networks without authorization
  • Reverse Engineering: Reverse engineer, decompile, or disassemble our software (except as permitted by law)
  • Competitive Products: Use our Services to build competing products or services
  • Scraping: Scrape, crawl, or extract data using automated means without permission
  • Overload: Overload or interfere with our infrastructure or networks
  • Circumvention: Bypass rate limits, authentication, or security measures
  • False Information: Provide false, misleading, or fraudulent information

6.2 User Responsibility

⚠️ CRITICAL DISCLAIMER:

You are solely responsible for all commands executed through SysNav on your systems. We provide AI assistance and suggestions, but we are NOT responsible for any damage, data loss, security breaches, or other issues resulting from commands you choose to execute. Always review AI-generated commands before executing them, especially on production systems.

7. AI Services and Limitations

7.1 AI-Generated Content

SysNav uses artificial intelligence to provide command suggestions, explanations, and assistance. You acknowledge and agree that:

  • Accuracy Not Guaranteed: AI-generated suggestions may contain errors, inaccuracies, or inappropriate recommendations even if they appear plausible or detailed.
  • No Verification: AI outputs should not be relied upon without independent verification. Always review commands before execution.
  • No Professional Advice: AI assistance does not constitute professional advice (technical, legal, financial, or otherwise).
  • Context Limitations: AI may not fully understand your specific system configuration, security requirements, or business context.
  • Hallucinations: AI may generate plausible but entirely false information ("hallucinations").

7.2 Third-Party AI Providers

We use third-party AI services (OpenAI, Anthropic) to power AI features. These providers have their own terms of service and privacy policies. By using AI features, you also agree to comply with their terms.

7.3 Input and Output Ownership

  • Your Inputs: You retain all rights to your prompts and inputs
  • AI Outputs: We assign you all rights to AI-generated outputs, subject to compliance with these Terms
  • Similarity: AI may generate similar outputs for different users based on similar prompts

8. Intellectual Property Rights

8.1 Our Intellectual Property

SysNav, including all software, designs, graphics, text, and trademarks, is owned by VirtBricks LLC or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Services subject to these Terms.

8.2 Your Content

You retain ownership of your data, commands, and content. By using our Services, you grant us a limited license to:

  • • Process and store your data to provide the Services
  • • Use aggregated, anonymized data for analytics and improvements
  • • Display your content within the Services for your use

8.3 Feedback

Any feedback, suggestions, or ideas you provide become our property. We may use, modify, and incorporate feedback into our Services without compensation or attribution.

9. Payment Terms

9.1 Subscription Plans

SysNav offers the following subscription plans:

  • Starter: Free forever with limited features
  • Professional: $10/month (monthly billing)
  • Enterprise: Custom pricing (annual contracts)

9.2 Billing and Payment

  • • All payments are processed securely through Stripe
  • • Subscriptions automatically renew unless canceled
  • • Prices are in USD unless otherwise stated
  • • You authorize us to charge your payment method for recurring fees
  • • Failed payments may result in service suspension

9.3 Refund Policy

Due to the nature of our Services, we do not offer refunds for partial months. You may cancel your subscription at any time, and you will retain access until the end of your current billing period.

9.4 Price Changes

We reserve the right to change subscription prices with at least 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new price.

10. Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • • MERCHANTABILITY
  • • FITNESS FOR A PARTICULAR PURPOSE
  • • NON-INFRINGEMENT
  • • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
  • • UNINTERRUPTED OR ERROR-FREE OPERATION
  • • SECURITY OR FREEDOM FROM VIRUSES

We do not warrant that the Services will meet your requirements or that defects will be corrected. Your use of the Services is at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL VIRTBRICKS LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • • Loss of profits, revenue, or business opportunities
  • • Loss of data or data corruption
  • • System downtime or service interruptions
  • • Security breaches or unauthorized access
  • • Damage to systems or equipment
  • • Costs of procurement of substitute services

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU IN THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR (B) $100 USD.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless VirtBricks LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • • Your use or misuse of the Services
  • • Your violation of these Terms
  • • Your violation of any laws or third-party rights
  • • Commands you execute through SysNav
  • • Unauthorized access to your account
  • • Your content or data

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

  • • Visiting your account settings and selecting "Delete Account"
  • • Contacting support at support@sysnav.ai

13.2 Termination by Us

We may suspend or terminate your access to the Services immediately, without prior notice, for:

  • • Violation of these Terms
  • • Illegal or fraudulent activity
  • • Non-payment of fees
  • • Extended inactivity
  • • At our sole discretion during the beta period

13.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. We will delete your account and data within 30 days, except as required by law or to enforce these Terms.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

14.2 Arbitration

Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court.

14.3 Exceptions

Either party may seek injunctive relief in court to protect intellectual property rights or prevent unauthorized use of the Services.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • • Posting the updated Terms with a new "Last Updated" date
  • • Sending an email notification to your registered address
  • • Displaying a prominent notice in the application

Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and terminate your account.

Additional Provisions

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and VirtBricks LLC regarding the Services.

Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment

You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.
